Role Overview

We are seeking an experienced Contracts Professional to lead drafting, negotiation, risk allocation, and administration of complex renewable energy contracts across Wind, Solar, and Hybrid projects. The role requires strong techno-commercial understanding, regulatory awareness, and the ability to balance speed with risk protection to enable seamless project execution.

Key Responsibilities

1. Contract Drafting & Negotiation

• Draft, review, negotiate, and finalize:
• Master Service Agreements (MSAs)
• Wind Turbine Generator Agreements (WTGAs)
• Balance of System (Solar) & Balance of Plant (Wind) contracts
• O&M Agreements (Wind/Solar/Hybrid)
• EPC / IPP agreements and related project documentation
• Structure and negotiate key contractual provisions including:
• Liquidated Damages (LDs)
• Warranties and Defect Liability Period (DLP)
• Limitation of Liability
• Termination clauses
• Force Majeure provisions
• Ensure contracts align with project requirements, timelines, budgets, and risk mitigation strategies.

2. Commercial & Regulatory Advisory

• Provide inputs on:
• Commercial structuring and pricing mechanisms
• Legal and regulatory compliance
• Tax implications (GST, customs duties, etc.)
• Regulatory requirements (CERC, State Electricity Regulatory Commissions, RE policies)
• Support best practices in contract administration and governance.

3. Stakeholder Management & Dispute Resolution

• Collaborate closely with:
• Project Team
• Legal & External Counsel
• Finance
• Procurement
• Identify contractual risks early and implement mitigation strategies.
• Support dispute avoidance and resolution.
• Demonstrate strong negotiation and conflict management capability.

4. Regulatory & Industry Updates

• Stay updated on:
• CERC & State Regulations
• MNRE Guidelines
• CEA Regulations
• IEC Standards
• Ensure contracts reflect evolving regulatory and industry requirements.

5. Risk Identification & Allocation

Identify and appropriately allocate risks related to:

• Project delays
• ROW (Right of Way) and land acquisition issues
• Force Majeure events
• Solar module performance and degradation risks
• Wind Turbine Generator availability guarantees
• Foundation and interface risks (Wind projects)

6. Execution Excellence

• Ensure timely contract closure without becoming a bottleneck to project schedules.
• Balance speed of execution with robust risk protection.
• Drive efficiency in negotiation cycles.

7. Process & Template Management

• Develop, maintain, and improve standard contract templates.
• Incorporate lessons learned from past projects, claims, and disputes.
• Institutionalize best practices across renewable projects.

Desired Profile

• Qualification: B.Tech
• Strong exposure to Wind and/or Solar project contracting
• Sound understanding of regulatory and taxation framework
• Strong negotiation and stakeholder management skills
• Ability to work in fast-paced, execution-driven environment
